TERMS OF USE AND PARTICIPATION AGREEMENT - THE CO-CREATED HUB NETWORK

By accessing or using the Co-created Hub Network (the “Hub”), you (“User”, “you”) agree to be bound by this Terms of Use and Participation Agreement (the “Agreement”) with The Co-created Hub Limited, a company registered in England and Wales with its registered office at 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (the “Company”, “we”, “us”).

1. Eligibility, Access, Trial Use, and User Types

For the purposes of this Agreement, users may access the Hub in different capacities. A “Participant” refers to an individual who joins the Hub primarily to consume content, attend sessions, or engage in community discussions. A “Channel Partner” refers to any individual or entity approved by the Company to host, lead, stream, or publish content within the Hub. Channel Partners are responsible for the content they provide and may be subject to additional obligations agreed separately with the Company under a Channel Partner agreement.

Users must be at least 18 years old to access the Hub. Access is granted on a revocable, non-exclusive, non-transferable basis and may be suspended, modified, or withdrawn by the Company at its discretion.

Access to the Hub may be provided on a limited trial or evaluation basis, including where access is facilitated by third-party organisations such as enterprise partners. Such access is provided solely for convenience of distribution and internal evaluation purposes and does not create any contractual relationship between the Company and any such organisation.

For the avoidance of doubt, all users access the Hub in their personal capacity and this Agreement is entered into solely between the individual user and The Co-created Hub Limited. No organisation shall be deemed a party to this Agreement, shall acquire any rights under it, or shall have any responsibility or liability for a user’s participation in the Hub. The Company is not responsible for any internal organisational arrangements, employment relationships, or policies relating to access or use of the Hub.

Where access is provided on a trial basis, continuation beyond the trial period may require either an individual subscription or a commercial agreement with the relevant organisation.

All users remain individually responsible for complying with this Agreement regardless of access type.

Nothing in this Agreement shall create any relationship of employment, agency, partnership, or joint venture between the Company and any organisation or user.

2. Community Standards and Conduct

The Hub Network is a private live learning community guided by the values of connection, collaboration, and holistic growth. You agree to act respectfully and in good faith at all times and not to post, stream, or share any content that is unlawful, harmful, abusive, defamatory, discriminatory, or otherwise objectionable, or that infringes the rights of others.

You agree not to harass, threaten, exploit, or disrupt other users or hosts, nor attempt to gain unauthorised access to systems, accounts, or data. The Company may suspend or terminate access immediately, without notice or liability, where it reasonably believes these standards have been breached.

3. User Content and Intellectual Property

You retain ownership of content you create or share within the Hub (“User Content”). Channel Partners retain ownership of content they create or deliver (“Partner Content”), subject to the rights granted below.

By participating in the Hub, you grant the Company a worldwide, irrevocable, royalty-free, perpetual, and transferable licence to use, host, reproduce, modify, edit, adapt, distribute, and display your User Content and Partner Content for the purposes of operating, marketing, improving, and archiving the Hub. This includes the right to edit, crop, reformat, subtitle, and create derivative works such as highlights, trailers, or promotional materials.

The Company may retain recordings and archives of live or recorded sessions indefinitely, even after a user or Channel Partner ceases participation, unless otherwise required by law.

All platform materials, systems, branding, and proprietary content provided by the Company remain the exclusive intellectual property of the Company or its licensors. No ownership rights are transferred to users or Channel Partners.

4. Channel Partner Content 

Certain content, sessions, and live experiences within the Hub may be delivered by approved Channel Partners or independent contributors. Channel Partners operate in their own capacity and are responsible for the content, opinions, and materials they provide.

The Company is not responsible for and does not endorse, approve, or verify any content provided by Channel Partners or other users. The Company makes no representation or warranty regarding the accuracy, completeness, or reliability of the content, acts solely as a neutral platform provider, and shall not be liable for any reliance placed on such content or for any outcomes arising from engagement with it.

Nothing in this Agreement shall be interpreted as creating a fiduciary, advisory, or professional relationship between the Company and users or Channel Partners.

5. Confidentiality and Private Network Use

You acknowledge that the Hub Network is a private environment. You agree not to disclose, reproduce, or distribute any non-public content, discussions, or materials obtained through the Hub without prior written consent. You also agree not to record or retransmit any live sessions unless explicitly authorised by the Company.

These obligations survive termination of access.

6. Non-Solicitation and Non-Circumvention

You agree that you will not use the Hub, directly or indirectly, to solicit, market to, or divert other users or members to any competing platform, service, or community, nor attempt to move users off-platform for commercial purposes without the Company’s prior written consent.

This restriction applies to all users, including Channel Partners, and survives termination of your access to the Hub.

7. Professional Disclaimer and Educational Nature of Content

The Hub Network is a collaborative, educational, and experiential environment. The Company acts solely as a neutral platform provider and does not verify, audit, review, or approve any content provided by users or Channel Partners.

Content shared within the Hub does not constitute medical, psychological, therapeutic, legal, financial, or professional advice. You acknowledge that any decisions made based on content within the Hub are made at your own risk, and the Company shall not be responsible for any outcomes, losses, or damages resulting from reliance on such content.

8. Payments and Access (if applicable)

Where access is subject to payment, such access is conditional upon receipt of full payment. The Company reserves the right to modify pricing, features, or access levels at any time. Unless otherwise stated, all fees are non-refundable.

9. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business, data, goodwill, or opportunities arising from or related to your use of the Hub.

The Company is not responsible for interactions between users, including any agreements, reliance, or disputes arising between users or with Channel Partners.

The Company’s total aggregate liability shall not exceed the amount paid by you (if any) in the twelve months preceding the claim. Nothing in this Agreement excludes liability where it would be unlawful to do so.

10. Third-Party Interactions

The Hub may include access to third-party services, partners, or collaborators. The Company does not endorse or guarantee third-party content or services and is not responsible for any engagement between users and third parties.

11. Termination

The Company may suspend or terminate access at any time, without notice, where it reasonably believes there has been a breach of this Agreement or conduct that may harm the Hub or its users. Upon termination, all rights to access the Hub cease immediately.

12. Data Protection and Privacy

By accessing the Hub, you acknowledge and agree that the platform operates as a private community environment in which interaction between members is a core feature. Accordingly, certain personal data, including your name, profile information, activity, participation history, and engagement within the Hub, may be visible to other members of the Hub.

This visibility is an essential part of the functionality of the platform and is necessary to enable collaboration, communication, and participation within the community.

The Company processes personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of data processing practices are set out in the Company’s Privacy Policy.

13. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiations. If unresolved within 30 days, the matter may be referred to mediation in England. If still unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. The prevailing party may recover reasonable legal costs where permitted by law.

14. Governing Law

This Agreement is governed by the laws of England and Wales.

15. Changes to This Agreement

The Company may update this Agreement from time to time. Continued use of the Hub after changes are published constitutes acceptance of the updated terms.
