By entering the Co-created Hub Network (hereinafter "the Hub") and signing this agreement offered by The Co-created Hub Limited, a company registered in the United Kingdom with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (hereinafter “the Company”), you understand and consent to the Terms and Conditions outlined below.
TERMS OF PARTNERSHIP AGREEMENT
- Founding Partnership Terms
1.1 The Responsibilities of the Founding Partner
- You will host (at least) one event per quarter in your Meetup Circle (the event needs to be at least 30 minutes long and can be hosted in the Live Room inside the Hub or on Google Meet/ Zoom.
- You will promote your Meetup Circle on social media and through other means suitable to you/ your business and invite your network/ community to join your events.
- You will enrol in our Co-creator Financial Growth programme and represent the company as an affiliate partner, sharing your unique Founding Partner affiliate (share) link(s) in your social media platforms/ website to help bring visibility to your events and help us grow our membership base.
- You will utilise our brand templates and guidelines when promoting your meetups and scheduling your events in the Hub. The templates will be shared with you through Canva.
- You will comply with all applicable laws, regulations, and ethical standards while promoting your events and the Company’s products and services. The Founding Partner must not make any false, misleading, or unapproved claims about their events and the Company’s products and services.
1.2 The Responsibilities of The Company
- The Company will promote your Meetup Circle and events on social media and the Co-created Hub Events page.
- The Company will hyperlink your website in your Meetup Circle description on the Co-created Hub Events page to promote your business and drive traffic and visibility to your services and products.
- The Company will provide full visibility of the number of referrals (membership subscriptions) received through your unique Founding Partner share links in The Company’s Co-creator Affiliate dashboard. You will receive login details to the Co-creator affiliate dashboard, where you can access your share links and view the number of subscriptions received through your links.
- The Company will host a monthly collaboration event inside the Partners’ Circle to facilitate collaboration synergies and business growth opportunities for the Hub Partners community.
- The Company will (when appropriate) introduce you to other Partners within the Co-created Network to support you in growing your business and creating aligned collaborative partnerships.
- Bonus: The Company will feature your business in the Inspiration Blog Series and promote your article and business to our email list when your Meetup Circle reaches the monetary value of £500 (the equivalent of 20 membership referrals generated through your unique share links). Your article will be published in our Founders' Stories or Tips from Experts category and be shared with a readership of 9,000 monthly readers.
1.3 Commission and Payment
- You will receive between 25% and 50% of the monthly subscription fee of each membership referral received through your unique affiliate partnership links. Your commission would depend on how many meetups you host per quarter (3 meetups = 50% commission; 1-2 meetups = 25% commission). The commissions will be calculated based on completed and non-refunded sales.
- Commission payments will be made on the 5th working day of each calendar month to your PayPal account.
- Your company will not be charged affiliate fees on sales made through the Co-created Hub Network Membership and The Co-created Hub platform for the first 6 months of the duration of the Founding Partnership unless you enter an official affiliate partnership with the Co-created Hub, whereby the Hub will act as your Affiliate partner and your products/services will be directly promoted in our Co-created Directory page on our website (Founding Partners who are interested in being represented by the Hub as an official affiliate partner can express their interest via email directly to Kristina Todorova, Founder and CEO of the Co-created Hub at [email protected]).
1.4 Duration and Termination of Partnership
This is a rolling partnership agreement with a minimum of a 3-month commitment to hosting your Meetup Circle. Following the initial three months, the partnership can be terminated at any time by you or/and The Company upon giving a one-month's notice. Terminating the Founding Partnership agreement does not terminate your monthly membership subscription. You can retain your access to the Co-created Network membership and the Passive Income opportunities available through our Co-creator Financial Growth Programme (continuing to earn 25% of each membership referral); or you can cancel your membership subscription in your Hub Account profile or directly via PayPal.
- TERMS OF USE OF THE CO-CREATED NETWORK
2.1 Community Guidelines and Code of Conduct
The Co-created Hub Network is a collaborative place guided by our core values- Connection, Collaboration and Holistic Growth. It is our utmost priority to provide a safe and non-judgmental environment where other partners and members of the Hub feel supported. By entering the Network and attending events, you agree to treat others respectfully and not transmit through our platform any content or communication which violates the rights of others, or which is threatening, abusive, invasive of privacy or publicity rights or which encourages conduct that would constitute a criminal offence or violate any law. We reserve the right to terminate your access to the Hub should you violate our Community Guidelines and not rectify your behaviour upon receiving a written notice from the Network moderators.
2.2 Intellectual Property
All intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, in and to any works, inventions, developments, initiatives, discoveries, designs, software, or other content and materials created, developed, and shared in the Hub membership and platform constitute proprietary information and shall be owned solely and exclusively by the Company. You agree that the proprietary information contained in the Hub is owned by the Company and is protected by copyright, trademark and other applicable intellectual property laws. You shall not use the proprietary information in a way that constitutes an infringement of the Company’s rights or that has not been authorized by the Company. The use of proprietary information outside the Hub is strictly prohibited and infringes on the intellectual property rights of the Company and may subject you to civil and criminal penalties, including possible monetary damages, for infringement on the Company’s intellectual property rights.
2.3 Limitation of Liability
You understand and agree that the Company shall not be liable to you for any special, incidental, exemplary, consequential or indirect damages, including, without limitation, loss of use, loss of profit, loss of business opportunity, loss of data or any other damage incurred directly or indirectly from your participation in the Hub, the Network events, Kristina's Circle or/and your engagement in services, products or collaborations with other members, subscribers and/or third parties endorsed by the Company such as founding partners, service partners and affiliate partners, even if you have been advised of the possibility of such damages. You understand that the content shared inside the Hub and on the Co-created Hub website is for informational purposes only and is not a substitute for counselling, professional mental health care or therapy and does not prevent, cure or treat any mental disorder or medical disease.
2.4 Hub Content
You understand that the content and events provided in the Hub are subject to change. The Company makes no warranty that the information provided, regardless of its source, is accurate, complete, and error-free. The company disclaims all liability for any inaccuracy, error or incompleteness in the content shared during the Hub events; on the Co-created Hub website; inside the Co-created Network membership or in any other materials provided by the Company.
2.5 Dispute Resolution and Recovery of Litigation Fees
In the event of any dispute or claim arising out of or relating to this agreement, including any questions regarding its existence, validity, or termination, the Company and the Partner shall first attempt to resolve the dispute through good-faith negotiations. If the parties are unable to reach a resolution within 30 days of written notice of the dispute, either party may initiate mediation by providing written notice to the other party. The mediation shall be conducted by a mutually agreed-upon mediator.
If any legal action, arbitration, or other proceeding is brought for the enforcement of this agreement, or because of an alleged dispute (mishandled through good-faith negotiations), breach, default, or misrepresentation related or arising from this agreement, the prevailing party or parties shall be entitled to recover reasonable solicitor fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
2.6 Governing Law
This agreement shall be governed by and construed in accordance with the laws of England & Wales. Any dispute arising out of or in connection with this agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England & Wales.
