I, the signatory, a Member of The Co-created Network, understand and agree to the following Terms of Service for participation as a member.

1. Core Values and Member Conduct

I acknowledge that The Co-created Hub Membership (“The Co-created Network”) is guided by the core values of Collaboration & Co-creation, Growth from within, Success-on-purpose, Respecting diverse perspectives, and Giving Back. I agree to participate in the Membership in a manner consistent with these values, to treat all members with respect, and to refrain from transmitting content or communications that are abusive, threatening, illegal, or infringe the rights of others. I understand that failure to comply may result in termination of my Membership access.

2. Intellectual Property

All intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, in and to any works, inventions, developments, designs, software, or other materials I provide or share in the Membership (collectively, “My Content”) remain my property. I grant The Co-created Hub Limited a limited, non-exclusive, worldwide license to use, display, and distribute My Content within the Membership and soley for purposes of promoting the Network. I shall not use content provided by other members outside of the Membership in any manner that constitutes infringement or is not expressly authorized by the Company. Unauthorized use may result in civil or criminal penalties, including monetary damages.

3. Non-Competition

I will not, during my participation in the Membership and for a period of 12 months after termination, develop, launch, or operate any digital, online, or physical media platform or network that offers the same features, content, or functionality as the Co-created Hub or the Membership, whether directly or indirectly.

4. Confidentiality

I acknowledge that all non-public information, discussions, strategies, and other confidential information shared within the Membership or by the Company or other members is confidential. I will not disclose or use any such confidential information outside of the Membership without the express written consent of the Company.

5. Representations and Warranties

I represent and warrant that I have full right, title, and interest in any content I provide to the Membership, that such content does not infringe the rights of any third party, and that it complies with all applicable laws and regulations.

6. Indemnification

I agree to indemnify, defend, and hold harmless The Co-created Hub Limited, its officers, employees, and agents from any claims, damages, or expenses arising from my participation in the Membership, including but not limited to my content, actions, or breach of this agreement.

7. Limitation of Liability

I understand and agree that The Co-created Hub Limited shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of profit, data, or business opportunity, arising from my participation in the Membership or use of Membership Content. I further acknowledge that Membership Content is for informational purposes only and is not a substitute for professional advice, counselling, or medical treatment.

8. Dispute Resolution and Governing Law

In the event of any dispute arising under or in connection with this agreement, I will first attempt to resolve it through good-faith negotiation. If such negotiation does not resolve the dispute within thirty (30) days, either party may initiate mediation with a mutually agreed-upon mediator. This agreement is governed by the laws of England & Wales, and I submit to the exclusive jurisdiction of the courts of England & Wales.

9. Termination

I understand that the Company may terminate or suspend my access to the Membership at its sole discretion if I materially breach this agreement, violate the Community Guidelines, or engage in unlawful conduct. I understand that termination does not relieve me of obligations accrued prior to termination.
